Terms & Conditions Effective Date: April 2024 These Terms & Conditions govern all quotations, sales orders, and service agreements provided by Promotex Productions (“Promotex”). By approving a quote or issuing a purchase order, the Client agrees to be bound by these terms. 1. Quotations and Pricing All quotes are valid for 15 days unless otherwise stated. Prices are subject to change due to fluctuations in raw material costs, currency exchange rates (especially regarding overseas sourcing), or freight surcharges. 2. Artwork and Proofing Promotex will provide a digital proof for Client approval. It is the Client’s sole responsibility to verify all details, including spelling, colors (Pantone matches), logo placement, and dimensions. Once a proof is approved via Odoo or email, Promotex is not liable for any errors present in the final product that were shown on the approved proof. 3. Production and Lead Times Lead times begin only after (a) the deposit is received and (b) the final artwork proof is approved. Promotex is not responsible for delays caused by customs clearance, international shipping port congestion, or carrier software instabilities. 4. Quantity Variances (Over/Under) In accordance with industry standards for custom manufacturing, Promotex reserves the right to ship and bill for a variance of +/- 10% of the quantity ordered. The Client will be invoiced for the actual quantity shipped. 5. Payment Terms Unless otherwise agreed in writing, a 50% deposit is required to initiate all custom orders. The remaining balance is due upon shipment or according to the terms established by our Finance department. Late payments are subject to an interest rate of 1.5% per month. 6. Cancellation Orders for custom-branded merchandise cannot be cancelled once production has commenced.
